- Updates are free for life, including major new versions.
- Our apps are for macOS only. There are no Windows versions.
- Each app also has its own licence agreement, which it shows when you install or first open it.
- Prices are in Australian dollars, and payments are handled by Stripe.
- If something isn’t working, our support team will work through it with you, and your rights under the Australian Consumer Law always apply.
- If you use Studio Backup, check your backups and keep more than one copy. Please read the backup disclaimer.
This summary is here to help. The sections below are the actual terms.
Who we are, and these terms
JNP Software is run by James North, an Australian musician and producer, with a small team who look after support, development and beta testing. In these terms, “we” and “us” means JNP Software, and “you” means the person buying or using our apps.
These terms apply when you buy, download or use any of our apps, or use this website. By doing any of those, you agree to them. How we handle your personal information is covered in our privacy policy.
Your licence
When you buy an app, you’re buying a licence to use it. We keep the copyright in the software, and you get the right to use it on these terms.
- It’s personal. The licence is for you, as one person. If you need apps for several people, such as a studio or a school, get in touch and we’ll sort something out.
- Up to three Macs at a time. You can activate each licence on up to three Macs that you own or use. Activating ties the licence to that Mac.
- Moving to another Mac. Free a Mac’s place by deactivating it in the app, or by removing it on your account page, then activate the new one. A Mac you remove on the account page is told the next time it checks in with us, and stops using the licence a week after that.
- Working offline. Starting a trial or activating needs an internet connection once. After that, about once a week when your Mac is online, the app checks in with us for updates and to confirm the licence. Being offline never stops it working.
- Your licence carries your email address, and the app shows it as “Licensed to” in its settings.
- What you make is yours. We claim nothing in the music, audio, images or files you create or process with our apps, and you can use them commercially.
Licences you get another way, such as a gift, a press copy or a tester licence from a beta link, work the same way unless we told you otherwise when we gave it to you.
Each app’s licence agreement
Each app comes with an End User Licence Agreement (EULA), which it shows when you install or first open it. The EULA is the licence for the app itself. These terms cover buying from us and using this website. They are written to match: the apps are provided “as is” apart from the guarantees the Australian Consumer Law gives you, and our liability is limited to what you paid, as far as the law allows. The Studio Backup agreement also says we are not responsible for lost data (see the backup disclaimer).
Read the agreement for each app:
The free trial
Every paid app can be tried free on each Mac for the length shown on its page (currently seven days). The trial is the full app. Starting it needs an internet connection once, and no account or payment details are needed.
The trial is tied to the Mac, so reinstalling the app doesn’t start it again. Nothing is ever charged automatically. When the trial ends, or on a Mac with no valid licence, the app’s window is blurred behind a “No valid licence” card until you activate it, and:
- NAM Suite and Drum Monitor go silent;
- Audio Funnel stops routing audio, with a notification;
- Outboard passes audio through unprocessed;
- File Xfer starts no new transfers;
- Studio Backup pauses scheduled backups, with a notification. Your existing backups are untouched, and restoring always works;
- Audio Converter and Web Image Converter stop converting.
Your settings and files are kept, and everything works again as soon as you activate.
Free updates for life
Every update we release for an app you’ve bought is free, including major new versions. You’ll never pay for the same app twice. The apps tell you when an update is ready, and you can always download the latest version from your account page.
We work to keep our apps running well on current versions of macOS, but we can’t promise that every app will be updated forever or will run on every future Mac or version of macOS.
Mac only
Our apps run on macOS only. There are no Windows or Linux versions. Each product page lists what the app needs, so please check it, and use the free trial, before you buy.
Buying
Prices are shown and charged in Australian dollars (AUD). Payments are handled by Stripe on its secure checkout page, and we never see your card number. Stripe may offer to charge you in your own currency instead, at an exchange rate it shows you before you pay. If you pay in Australian dollars with a card in another currency, your bank converts the amount and may add its own conversion or international transaction fee.
Once your payment goes through, your licence is issued straight away and emailed to you with a receipt and a link to your account. We may change prices from time to time, but a change never affects something you’ve already bought.
If something goes wrong
If an app isn’t working as it should, open a ticket at /support and tell us what’s happening. We’ll work through it with you, and if it’s a bug, fix it in an update. Billing questions go through support too. We look at every case individually and fairly.
If a purchase is reversed, its licence is cancelled. Macs using it are told at their next check-in and stop working with that licence a week later.
Nothing in these terms limits your rights under the Australian Consumer Law. Our goods come with guarantees that cannot be excluded under the Australian Consumer Law. You are entitled to a replacement or refund for a major failure and compensation for any other reasonably foreseeable loss or damage. You are also entitled to have the goods repaired or replaced if the goods fail to be of acceptable quality and the failure does not amount to a major failure. If you live outside Australia, you also keep any consumer rights your local law gives you that can’t be excluded.
Studio Backup: please read
Studio Backup copies your files so you have another copy if something goes wrong. No backup tool can promise that every backup will be complete or can always be restored. Disks fail, files change while they’re being copied, folders get left out of a backup set, and software has bugs. So:
- Check your backups regularly, including actually restoring a few files to make sure they open.
- Keep more than one copy of anything you can’t afford to lose, ideally with one copy somewhere other than where your Mac lives.
- Don’t make Studio Backup your only copy of important work.
- Backups aren’t encrypted by the app. Anyone with access to the backup drive or machine can read them, so use encrypted storage if that matters.
You are responsible for checking your backups. Apart from the guarantees the law says we can’t exclude, Studio Backup is provided “as is”, without any other promise that it will suit your setup or be free of faults. To the extent the law allows, we aren’t liable for lost or damaged data, or for any loss that comes from a backup that is missing, incomplete or can’t be restored.
This doesn’t take away your rights under the Australian Consumer Law. If the app has a fault, you still have the remedies that law gives you (see If something goes wrong). The full terms are in the Studio Backup licence agreement.
Beta versions
Beta versions are unfinished and are more likely to have bugs. Use them on copies of your work, not the only copy. Beta links can close at any time, and a beta build may stop being offered once the finished version is out.
Fair use
Please don’t:
- share your licence key with anyone, or post or sell it;
- crack, patch or otherwise get around the licensing in our apps, or share copies that have been changed to do that;
- share or redistribute the apps or your download links (download links are for you only);
- resell or transfer a licence without asking us first (if you want to pass one on, ask and we’ll usually help);
- reverse-engineer or decompile the apps, except where the law specifically allows it;
- use the apps or this site for anything unlawful.
If a licence is misused, we may cancel it. Macs using a cancelled licence stop working with it after their next check-in and a grace period.
Open-source components
Some of our apps include open-source software. Those parts are covered by their own licences, and where those licences give you rights, they take priority over these terms for those parts.
Audio Converter uses LAME and libsoxr under the GNU Lesser General Public License (LGPL). They ship as separate, unmodified libraries inside the app, and you may replace either one with your own build. You can download their exact source code for each version of the app from our open-source page. Other apps list any open-source components they use in the app’s acknowledgements.
Your account
Your account is created when you buy, sign in, open a support ticket or sign up for a beta. You sign in with a link we email you, so anyone who can read your email can get into your account. Please keep your email account secure. Your licences are tied to your email address; if it changes, let us know through support and we’ll move them across.
We may suspend or close an account that’s used for fraud or abuse. To close your own account, contact support (see our privacy policy for what happens to your information).
Support
Support is free. Start with the FAQ or the user guides in your account, and if they don’t answer it, open a ticket at /support or email software@jamesnorth.productions. We’re a small team in Australia and reply as soon as we can. We help with installing, licensing, bugs and how the apps work. We can’t promise to solve problems caused by other software or by your particular setup, but we’ll always try to point you in the right direction.
Our responsibility to you
We build and test our apps carefully, but all software can have bugs. Whatever app you use, ours or anyone else’s, keep backups of your work. This section applies to all of our apps and this website.
You have guarantees under the Australian Consumer Law (and possibly other laws) that can’t be excluded, and nothing here tries to. Apart from those:
- our apps are provided “as is”, and we don’t promise that they will be free of errors, will run without interruption, will work with your hardware or other software, or will suit every purpose;
- to the extent the law allows, we aren’t liable for indirect or consequential loss, including lost or damaged data, lost work, lost profits or business interruption;
- where the law lets us limit our liability for failing to meet a consumer guarantee, our liability is limited to supplying the app again or paying the cost of having it supplied again;
- otherwise, to the extent the law allows, our total liability to you for any app is limited to what you paid for it.
Changes to these terms
We may update these terms from time to time. When we do, we’ll change the date at the top of this page, and we’ll let you know about significant changes by email or on the site. A change never takes away something you’ve already paid for: a licence you’ve bought keeps its number of Macs and its free updates.
The law that applies
These terms are governed by the laws of Australia, and any dispute will be handled by the courts of Australia. If you’re a consumer living somewhere else, you also keep any rights your local law gives you that can’t be excluded.
