OUTBOARD — END USER LICENCE AGREEMENT

JNP Software, Australia ("JNP Software", "we")

Last updated: 3 October 2026

Please read this agreement before installing Outboard. By clicking Agree, installing, or using the software you accept it. If you don't accept it, click Disagree and don't install.

1. WHAT YOU GET

1.1A licence, not a sale. We grant you a personal, non-exclusive, non-transferable licence to install and use Outboard (the Outboard menu bar app and the helper program inside it, and the Outboard VST3 and AU plug-ins, together "the Software") on computers you own or control, for your own music-making, in line with this agreement.

1.2Ownership. The Software, its code, design, artwork, name and documentation remain the property of JNP Software. Nothing in this agreement transfers any of that to you.

1.3Trial, licence keys and activation.

(a)Trial. You can try the Software free for 7 days on each Mac. Starting the trial needs an internet connection once. Each Mac gets one trial.

(b)Licence keys. A licence key is for your own use. It can be active on up to 3 Macs you own or control at the same time. You can free a Mac's place by deactivating it in the Software, or by removing it in your account at jnp.software.

(c)Activation. Activating a Mac needs an internet connection once. After that the Software checks the licence on your Mac, without a connection.

(d)Weekly check-in. About once a week, when your Mac is online, the Software checks in with jnp.software for updates and to confirm the licence's status. If it can't connect it keeps working and tries again later. The Software is never stopped because you are offline.

(e)Refunds, revocation and removed Macs. If a licence is refunded or revoked, or a Mac is removed from it in your account, the Software shows a notice at its next check-in and keeps working for 7 days. After that it stops working on that Mac until it is activated again with a valid licence key.

(f)Without a valid licence. When the trial has ended, or there is no valid licence on a Mac, the Outboard plug-in passes audio through unprocessed on that Mac (see 4.3) until it is activated. Your racks, presets, settings and files are kept.

2. WHAT YOU MUST NOT DO

2.1Reverse engineer, decompile, disassemble or otherwise attempt to derive the source code, algorithms or internal workings of the Software, except to the extent that applicable law expressly permits despite this term.

2.2Copy the Software other than for backup, or distribute, sell, rent, lease, lend, sublicense or otherwise make it available to anyone else.

2.3Modify the Software, remove or alter any notices in it, or circumvent its licensing, trial or activation mechanisms.

2.4Use the Software in any way that is unlawful.

3. THIRD-PARTY CONTENT AND SOFTWARE

3.1Open-source components. The Software includes the JUCE framework and other open-source components, used under their own licences. Their notices are in the Outboard app (About → Third-party notices) and in the THIRD_PARTY_NOTICES.txt file inside the app.

3.2Hosted plug-ins. The VST3 and AU plug-ins you load into the Software are the work of their respective developers and are provided under their own terms. This agreement grants you no rights in them. You are responsible for holding a valid licence for every plug-in you load and for complying with its terms, including any limits on the number of computers or processes it may run on.

3.3Other applications. The Software works with digital audio workstations and other applications that belong to their respective publishers. JNP Software is not affiliated with or endorsed by them, or by the developers of the plug-ins you host, and their names are trademarks of their owners.

4. HOSTED PLUG-INS, AUDIO AND YOUR SESSIONS — PLEASE READ

4.1Out-of-process hosting. The Software runs the plug-ins you load in separate helper programs outside your DAW and passes audio, MIDI and automation between your DAW and those helpers on your Mac. This protects your DAW from many plug-in crashes, but not all of them, and it adds latency that your DAW must compensate for. Some plug-ins may not work, or may behave differently, when run this way.

4.2Plug-ins' own licences and copy protection. Hosted plug-ins keep their own licensing and copy protection (such as iLok, dongles, online activation or authorisation limits). The Software does not bypass, remove or alter any plug-in's copy protection, and must not be used to do so. A plug-in may ask for its own permissions or activation, or refuse to run, when hosted by the Software; that is between you and the plug-in's developer.

4.3Dropouts and pass-through. Audio through the Software depends on the Outboard app and its helper programs. If the Outboard app quits, crashes or is stopped, if a helper program crashes or is restarted, or if your Mac is under heavy load, audio through the Software can drop out, glitch, go silent or briefly pass through unprocessed, and a plug-in may be reloaded from its last saved settings. While there is no valid licence or trial, the Software passes audio through unprocessed, so your hosted plug-ins are not applied to what you hear, record or export. Check a session before you rely on it for a performance, recording or export you can't repeat.

4.4Levels. Plug-ins and audio software can produce feedback, sudden level changes, DC offset, oscillation and extreme gain, which can damage speakers, headphones, amplifiers and hearing. You are responsible for your monitoring levels and for testing new plug-ins and settings at a safe level.

4.5Your sessions. Your DAW projects, racks, rack presets, plug-in settings and recordings are your responsibility to save and back up. The Software reads and writes files in its data folder and in the folders you choose.

4.6To the maximum extent permitted by law, JNP Software is not liable for damage to equipment, hearing, recordings, sessions or data arising from use of the Software, or for the behaviour of any plug-in you host.

5. NO WARRANTY

5.1The Software is provided "as is" and "as available". To the maximum extent permitted by law, JNP Software gives no warranty that it will be error-free, uninterrupted, compatible with your hardware or other software, or fit for any particular purpose.

5.2Australian Consumer Law. Nothing in this agreement excludes, restricts or modifies any consumer guarantee, right or remedy under the Australian Consumer Law or any other law that cannot lawfully be excluded. Where such a guarantee applies and the law permits, our liability is limited, at our option, to re-supplying the Software or paying the cost of having it re-supplied.

6. LIMITATION OF LIABILITY

6.1To the maximum extent permitted by law, JNP Software's total liability to you under or in connection with this agreement, whether in contract, tort (including negligence), statute or otherwise, is limited to the amount you paid for the Software.

6.2To the maximum extent permitted by law, JNP Software is not liable for any indirect, incidental, special or consequential loss, including loss of profit, revenue, data, recordings, bookings or goodwill.

7. PRIVACY AND DATA

7.1Audio passes only between your DAW and the Software's helper programs on your computer. The Software stores its settings, plug-in list, rack presets, pedal pictures and window positions on your computer, in its data folder and the folders you choose.

7.2The Software contacts JNP Software's servers at jnp.software only for licensing and updates:

(a)when you start a trial or activate a licence key, it sends an anonymised machine ID (a one-way hash worked out from your Mac's hardware ID, which can't be turned back into it), your Mac's name (so you can tell your Macs apart in your account), your macOS version, which product it is and, when activating, the licence key you entered;

(b)at the weekly check-in, it sends the app's version and, once the Mac is activated, its licence token (a signed code that identifies your licence and this Mac's machine ID);

(c)when you deactivate a Mac, it sends that Mac's licence token and machine ID so its place can be freed.

JNP Software uses this information only to provide licensing, updates and support.

7.3The Software sends no usage analytics, and never sends your audio, recordings, presets, plug-in list or files to JNP Software.

7.4Hosted plug-ins. Plug-ins you load run under their own developers' terms and may contact the internet themselves, for example for their own licence checks. The Software doesn't control that.

8. UPDATES

8.1We may provide updates that change or remove features. Updates are covered by this agreement unless they come with a new one.

9. TERM

9.1This licence lasts until it ends. It ends automatically if you breach it. On a Mac whose licence is refunded or revoked, or that is removed from the licence, it ends as described in 1.3(e). On termination you must stop using and delete the Software. Sections 1.2, 2, 3, 4, 5, 6 and 10 survive termination.

10. GENERAL

10.1This agreement is governed by the laws of Australia, and the Australian courts have non-exclusive jurisdiction.

10.2If any part of this agreement is unenforceable, the rest remains in effect.

10.3This is the whole agreement between you and JNP Software about the Software.
