STUDIO BACKUP — END USER LICENCE AGREEMENT

Please read this agreement before using Studio Backup. By clicking Agree, or by using the software, you accept it. If you don't accept it, click Quit and don't use the software.

1. WHAT YOU GET

1.1A licence, not a sale. We grant you a personal, non-exclusive, non-transferable licence to install and use Studio Backup (the app, its bk command-line tool, its privileged helper and its scheduled jobs, together "the Software") on Macs you own or control, in line with this agreement.

1.2Ownership. The Software, its code, design, artwork, name and documentation remain the property of JNP Software. Nothing in this agreement transfers any of that to you.

1.3Trial, licence keys and activation. Studio Backup includes a free 7-day trial with every feature. After the trial you need a licence key. Each licence key may be active on up to 3 Macs at a time that you own or control. Starting the trial or activating a key needs an internet connection once. After that, about once a week when your Mac is online, Studio Backup checks in with JNP Software's server to look for updates and confirm the licence status. If a licence is refunded or revoked, or a Mac is removed from the licence in your jnp.software account, Studio Backup shows a notice and stops working on the affected Mac 7 days later unless it is activated again with a valid licence. Being offline never stops Studio Backup working: if it can't reach our server it only reminds you to connect. Licence keys are for your own use; don't share or publish them.

2. WHAT YOU MUST NOT DO

2.1Reverse engineer, decompile, disassemble or otherwise attempt to derive the source code, algorithms or internal workings of the Software, except to the extent that applicable law expressly permits despite this term.

2.2Copy the Software other than for backup, or distribute, sell, rent, lease, lend, sublicense or otherwise make it available to anyone else.

2.3Modify the Software, remove or alter any notices in it, or circumvent its licensing, trial or activation mechanisms.

2.4Use the Software in any way that is unlawful, or to access systems or data you are not authorised to access.

3. THIRD-PARTY CONTENT AND SOFTWARE

3.1Fonts. The interface uses the Sora, JetBrains Mono and Archivo Black typefaces under the SIL Open Font License 1.1. Their licences are in THIRD_PARTY_NOTICES.txt, shown under About → Acknowledgements; nothing in this agreement limits your rights under them.

3.2Other software. Studio Backup uses tools and services that are part of macOS, and the SSH software and machines you choose to back up to, each under their own terms.

4. BACKUPS AND YOUR DATA — PLEASE READ

4.1JNP Software is not responsible for any loss, corruption or damage of data of any kind, however caused — including data on your Mac, on your backup drives or on any other machine, and including any backup that fails to run, is incomplete, or cannot be restored.

4.2Backups are not guaranteed. A backup may be incomplete, fail or be impossible to restore for many reasons, including disk or hardware failure, files that are locked, skipped or unreadable, missing permissions (such as Full Disk Access), network or SSH problems, full or disconnected destinations, changes in macOS, settings that are wrong, and bugs in the Software. Some of these cannot be detected by any software.

4.3It is your responsibility to: regularly test that you can restore your files, by actually restoring some and opening them; keep more than one independent backup, following the 3-2-1 rule (at least 3 copies of your data, on 2 different kinds of storage, with 1 copy off-site); check the app's status and notifications and act on any warning; and keep your originals until you have confirmed they are backed up. Don't rely on Studio Backup as your only copy of anything important.

4.4Privileged helper and scheduled jobs. With your administrator approval, the Software installs a helper that runs with system (root) privileges to read and copy protected files, and registers scheduled jobs with macOS (launchd) that run backups in the background, including while the app is closed and, for some jobs, while no one is logged in. It reads, copies, replaces and, under the retention settings you choose, deletes old backups on your destinations, and restoring can replace files where you restore to. Removing these items is described in the user guide.

4.5Backups are not encrypted by the Software. Anyone with access to your backup drive or backup machine can read them; use encrypted storage if that matters.

4.6Nothing in the Software — including any status, check mark, "verified" result or message — is a guarantee that your data is backed up or can be recovered.

4.7Licensing never deletes or changes your existing backups. Without a valid licence, new backups stop, but browsing and restoring keep working.

5. NO WARRANTY

5.1The Software is provided "as is" and "as available". To the maximum extent permitted by law, JNP Software gives no warranty that it will be error-free, uninterrupted, compatible with your hardware, macOS version or other software, or fit for any particular purpose.

5.2Australian Consumer Law. Nothing in this agreement excludes, restricts or modifies any consumer guarantee, right or remedy under the Australian Consumer Law or any other law that cannot lawfully be excluded. Where such a guarantee applies and the law permits, our liability is limited, at our option, to re-supplying the Software or paying the cost of having it re-supplied.

6. LIMITATION OF LIABILITY

6.1To the maximum extent permitted by law, JNP Software's total liability to you under or in connection with this agreement, whether in contract, tort (including negligence), statute or otherwise, is limited to the amount you paid for the Software.

6.2To the maximum extent permitted by law, JNP Software is not liable for any indirect, incidental, special or consequential loss, including loss of profit, revenue, data, files, recordings, work or goodwill.

7. PRIVACY AND DATA

7.1Studio Backup contacts JNP Software's server (jnp.software) only for licensing and updates. When you start the trial or activate a licence it sends an anonymised machine identifier (a one-way hash worked out from your Mac's hardware ID, not its serial number), your Mac's name (so you can tell your Macs apart in your account), your macOS version and, when activating, your licence key. At the weekly check-in it sends the app version, whether this copy is for Apple silicon or Intel Macs, and your licence token (the signed record of this Mac's activation). Deactivating sends the licence token and machine identifier. Nothing else is sent to JNP Software.

7.2Studio Backup collects no analytics or usage data. Your files are never sent to JNP Software. Apart from jnp.software, Studio Backup connects only to the backup destinations you set up yourself (your own drives, and machines you back up to over SSH with your own keys).

7.3Links to the user guide, support and the store open jnp.software in your web browser only when you click them.

8. UPDATES

8.1Studio Backup tells you when an update is available; downloading it is up to you. Updates may change or remove features. Updates are covered by this agreement unless they come with a new one.

9. TERM

9.1This licence lasts until it ends. It ends automatically if you breach it. On termination you must stop using and delete the Software. Sections 1.2, 2, 3, 4, 5, 6 and 10 survive termination.

10. GENERAL

10.1This agreement is governed by the laws of Australia, and the Australian courts have non-exclusive jurisdiction.

10.2If any part of this agreement is unenforceable, the rest remains in effect.

10.3This is the whole agreement between you and JNP Software about the Software.
