FILE XFER — END USER LICENCE AGREEMENT

JNP Software, Australia ("JNP Software", "we")

Please read this agreement before using File Xfer. By clicking Agree, or by using the software, you accept it. If you don't accept it, click Quit and don't use the software.

1. WHAT YOU GET

1.1A licence, not a sale. We grant you a personal, non-exclusive, non-transferable licence to install and use File Xfer ("the Software") on Macs you own or control, in line with this agreement.

1.2Ownership. The Software, its code, design, artwork, name and documentation remain the property of JNP Software. Nothing in this agreement transfers any of that to you.

1.3Trial, licence keys and activation. File Xfer includes a free 7-day trial with every feature. After the trial you need a licence key. Each licence key may be active on up to 3 Macs at a time that you own or control. Starting the trial or activating a key needs an internet connection once. After that, about once a week when your Mac is online, File Xfer checks in with JNP Software's server to look for updates and confirm the licence status. If a licence is refunded or revoked, or a Mac is removed from the licence in your jnp.software account, File Xfer shows a notice and stops working on the affected Mac 7 days later unless it is activated again with a valid licence. Being offline never stops File Xfer working: if it can't reach our server it only reminds you to connect. Licence keys are for your own use; don't share or publish them.

2. WHAT YOU MUST NOT DO

2.1Reverse engineer, decompile, disassemble or otherwise attempt to derive the source code, algorithms or internal workings of the Software, except to the extent that applicable law expressly permits despite this term.

2.2Copy the Software other than for backup, or distribute, sell, rent, lease, lend, sublicense or otherwise make it available to anyone else.

2.3Modify the Software, remove or alter any notices in it, or circumvent its licensing, trial or activation mechanisms.

2.4Use the Software in any way that is unlawful, or to access systems or data you are not authorised to access.

3. THIRD-PARTY CONTENT AND SOFTWARE

3.1Open-source components. File Xfer includes open-source software used under its own licences: the Citadel SSH library (MIT licence, including OpenBSD bcrypt and Blowfish code under BSD-style licences); SwiftNIO, SwiftNIO SSH, Swift Crypto (including BoringSSL), SwiftASN1, Swift Log, Swift Atomics and Swift Collections (Apache License 2.0); and BigInt (MIT licence). It uses the libcurl that is part of macOS for FTP and FTPS (curl licence).

3.2Fonts. The interface uses the Sora, JetBrains Mono and Archivo Black typefaces under the SIL Open Font License 1.1.

3.3Notices. Each component is listed with its full licence in THIRD_PARTY_NOTICES.txt, shown under About → Acknowledgements. Those licences govern those components; nothing in this agreement limits your rights under them.

3.4Servers and services. The servers and storage services you connect to (including Amazon S3 and other S3-compatible services, SFTP, FTP and WebDAV servers) are operated by others under their own terms and charges. You are responsible for having permission to access them and for any costs they incur.

4. YOUR FILES — PLEASE READ

4.1File Xfer copies, moves, renames, replaces and deletes files on your Mac and on the servers you connect to, exactly as you instruct it. Transfers, moves and syncs can overwrite files at the destination, and syncing with "delete extras" on removes files that aren't in the source.

4.2Local files go to the Bin; files on servers are deleted permanently. Files on your Mac (and on drives connected to it) that you delete in File Xfer, or that Move or Sync removes, are moved to the Bin (Trash), where you can restore them until the Bin is emptied. If a volume has no Bin, File Xfer asks before deleting them permanently instead. Files on servers (SFTP, FTP, WebDAV, and Amazon S3 and other S3-compatible storage) can't go to the Bin: deleting them, or removing them by Move or Sync, is permanent and cannot be undone through File Xfer, and many servers keep no copy. Files that a transfer or Sync replaces are overwritten, not moved to the Bin.

4.3Always check the Sync preview — its direction and every file it will update or delete — before you confirm, and keep your own backups of anything important before transferring, syncing or deleting it.

4.4Credentials. Passwords, secret keys, passphrases and tokens you save are stored in your macOS Keychain; connection details are stored on your Mac. Keeping your Mac, your Keychain and your server credentials secure is your responsibility. Share links (such as presigned S3 links) give anyone who has them access until they expire.

4.5File Xfer connects only to the servers and storage you configure (directly, or through the proxy you choose) and to jnp.software for licensing and updates. The security of those servers is outside JNP Software's control, and connections that aren't encrypted (such as plain FTP) send your data and passwords as readable text.

4.6To the maximum extent permitted by law, JNP Software is not responsible for any files or data that are lost, deleted, overwritten, corrupted or exposed, or for any server or storage charges, arising from use of the Software.

5. NO WARRANTY

5.1The Software is provided "as is" and "as available". To the maximum extent permitted by law, JNP Software gives no warranty that it will be error-free, uninterrupted, compatible with your hardware, macOS version or other software, or fit for any particular purpose.

5.2Australian Consumer Law. Nothing in this agreement excludes, restricts or modifies any consumer guarantee, right or remedy under the Australian Consumer Law or any other law that cannot lawfully be excluded. Where such a guarantee applies and the law permits, our liability is limited, at our option, to re-supplying the Software or paying the cost of having it re-supplied.

6. LIMITATION OF LIABILITY

6.1To the maximum extent permitted by law, JNP Software's total liability to you under or in connection with this agreement, whether in contract, tort (including negligence), statute or otherwise, is limited to the amount you paid for the Software.

6.2To the maximum extent permitted by law, JNP Software is not liable for any indirect, incidental, special or consequential loss, including loss of profit, revenue, data, files, recordings, work or goodwill.

7. PRIVACY AND DATA

7.1File Xfer contacts JNP Software's server (jnp.software) only for licensing and updates. When you start the trial or activate a licence it sends an anonymised machine identifier (a one-way hash worked out from your Mac's hardware ID, not its serial number), your Mac's name (so you can tell your Macs apart in your account), your macOS version and, when activating, your licence key. At the weekly check-in it sends the app version, whether this copy is for Apple silicon or Intel Macs, and your licence token (the signed record of this Mac's activation). Deactivating sends the licence token and machine identifier. Nothing else is sent to JNP Software.

7.2File Xfer collects no analytics or usage data. Your files, connection details and passwords are never sent to JNP Software. Apart from jnp.software, File Xfer connects only to the servers, storage and proxies you set up yourself.

7.3Links to the user guide, support and the store open jnp.software in your web browser only when you click them.

8. UPDATES

8.1File Xfer tells you when an update is available; downloading it is up to you. Updates may change or remove features. Updates are covered by this agreement unless they come with a new one.

9. TERM

9.1This licence lasts until it ends. It ends automatically if you breach it. On termination you must stop using and delete the Software. Sections 1.2, 2, 3, 4, 5, 6 and 10 survive termination.

10. GENERAL

10.1This agreement is governed by the laws of Australia, and the Australian courts have non-exclusive jurisdiction.

10.2If any part of this agreement is unenforceable, the rest remains in effect.

10.3This is the whole agreement between you and JNP Software about the Software.
